ACCREDITED INVESTOR CERTIFICATION
By reviewing or otherwise using these materials you agree and acknowledge on behalf of yourself or, if applicable, the entity you represent (the "Investor"): Investor Qualifications and Investment Experience. The Investor must be one of the following: (a) if the investor is located in the United States of America, the investor is (i) a natural person whose individual net worth, or joint net worth with that of my spouse, is at least $1,000,000, excluding the value of my primary residence, but including indebtedness secured by such residence in excess of the value of such residence (ii) a natural person who had individual income in excess of $200,000 in each of the two most recent years or joint income with my spouse in excess of $300,000 in each of those years and I have a reasonable expectation of reaching the same income level in the current year. (b) if the investor is located in British Columbia, the investor is an Accredited Investor within the meaning of Multilateral Instrument 45-103. (c) if the investor is located in Ontario, the investor is an Accredited Investor as defined by the Ontario Securities Commission Rule 45-501. (d) if the investor is located in a jurisdiction other than those above, the investor is an accredited investor as defined in the particular jurisdiction.
